1. Acceptance of Terms

By accessing or using National NIL Sports ("Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 13 years old to use the Platform. Users under 18 must have a parent or legal guardian accept these Terms on their behalf and provide ongoing supervision. Athletes must comply with all NCAA, conference, school, and state NIL regulations applicable to them.

3. Account Registration

You must provide accurate and complete information.
You are responsible for maintaining the confidentiality of your credentials.
You are responsible for all activity under your account.
You must notify us immediately of unauthorized access.

4. Services

National NIL Sports provides software tools for managing Name, Image, and Likeness (NIL) opportunities, including but not limited to: deal tracking, partnership management, contract templates, e-signatures, compliance tracking, payment management, and athlete-brand matchmaking.

5. Fees and Commissions

We charge platform fees and/or commissions on deals completed through the Platform. Specific fees are disclosed at the time of transaction. All fees are non-refundable unless otherwise required by law.

6. Athlete and Brand Relationships

We facilitate connections but do not guarantee specific outcomes. Each Athlete and Brand is responsible for their own contractual obligations, tax filings, and legal compliance. We are not a party to deals between Athletes and Brands unless explicitly stated.

7. NIL Compliance

Athletes are solely responsible for compliance with: NCAA bylaws, state NIL laws, school-specific NIL policies, conference rules, and any other applicable regulations. The Platform's compliance tools are informational only and do not constitute legal advice.

8. Content and Intellectual Property

You retain ownership of content you upload. By uploading, you grant us a non-exclusive, worldwide license to host, display, and process your content for the purpose of operating the Platform. We retain all rights to the Platform itself.

9. Prohibited Conduct

Violating any applicable laws or NIL regulations
Misrepresenting your identity, credentials, or affiliations
Harassing or threatening other users
Uploading malware or attempting to disrupt the Platform
Scraping or reverse-engineering the Platform
Using the Platform to facilitate illegal activity

10. Termination

We may suspend or terminate your account for violations of these Terms or any applicable law. You may close your account at any time. Termination does not relieve you of obligations incurred before termination.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIONAL NIL SPORTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

13. Indemnification

You agree to indemnify and hold harmless National NIL Sports from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of [STATE], United States, without regard to conflict-of-law provisions. Any disputes shall be resolved in the courts of [COUNTY, STATE].

15. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or in-app notification. Continued use of the Platform after changes constitutes acceptance.
